Key Responsibilities of Legal Counsel
As Legal Counsel, your duties and responsibilities will include but are not limited to:
- Legal Advisory & Risk Mitigation
Provide accurate and timely legal advice to executives and departments regarding legal rights, obligations, and business strategy. - Contract Management
Draft, review, and negotiate a variety of commercial agreements including NDAs, vendor agreements, partnership contracts, employment documents, and more. - Compliance Oversight
Ensure the organization remains compliant with applicable laws and regulations, including employment law, data privacy laws (such as CCPA and GDPR), and industry standards. - Corporate Governance
Support corporate filings, board resolutions, entity management, and other governance matters. Assist in the creation and maintenance of corporate policies and procedures. - Dispute Resolution & Litigation Support
Manage pre-litigation disputes and support outside counsel in litigation matters. Provide recommendations for resolution strategies, settlements, or risk mitigation. - Cross-Functional Collaboration
Partner with HR, Finance, Operations, and Sales to provide legal input on new initiatives, transactions, policies, and potential business deals. - Monitoring Legal Trends
Stay updated on legal trends, regulatory changes, and emerging legal risks that could impact the company. Proactively advise leadership on compliance and preventive strategies.
Who You Are – Qualifications & Experience in Legal Counsel
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in at least one US state (in good standing).
- 3+ years of legal experience in-house or at a law firm, preferably in corporate law, contracts, compliance, or regulatory matters.
- Solid understanding of contract law, employment law, intellectual property, and risk management.
- Demonstrated ability to handle a broad range of legal issues independently and pragmatically.
- Strong analytical and negotiation skills.
- Exceptional communication skills—both verbal and written.
- High level of integrity, professionalism, and sound judgment.
Preferred Skills and Competencies
- Experience working in a high-growth startup or fast-paced corporate environment.
- Familiarity with legal tech tools, contract lifecycle management platforms, or document automation systems.
- Exposure to international legal matters or cross-border transactions is a plus.
- Ability to translate legal advice into actionable business solutions.
- Strategic thinker who is also detail-oriented and execution-focused.
