Overview of Legal Counsel
We are seeking a highly skilled and motivated Legal Counsel with expertise in Swiss and/or US law to join our dynamic, globally distributed legal team. This role is fully remote, with the ideal candidate residing in the United Kingdom. As a Legal Counsel, you will be responsible for providing comprehensive legal support across a range of business activities, ensuring compliance with applicable laws and regulations in both the Swiss and US jurisdictions.

Key Responsibilities of Legal Counsel
- Legal Advisory & Compliance
- Provide accurate and timely legal advice on a wide variety of matters, particularly focusing on Swiss and/or US corporate, commercial, and regulatory law.
- Ensure compliance with all relevant legislation and regulatory requirements in the jurisdictions the company operates in.
- Monitor changes in relevant legislation and the regulatory environment and advise management accordingly.
- Contracts & Agreements
- Draft, review, and negotiate a wide range of commercial contracts, including NDAs, vendor/supplier agreements, partnership agreements, service-level agreements (SLAs), and licensing deals.
- Manage contract lifecycle, ensuring alignment with business objectives and legal risk mitigation.
- Corporate Governance
- Support corporate secretarial functions including board resolutions, shareholder agreements, and company filings in Switzerland, the US, and other relevant jurisdictions.
- Advise on corporate structuring, subsidiary management, and internal compliance policies.
- Risk Management & Dispute Resolution
- Identify potential legal risks and proactively work to mitigate them.
- Manage and resolve legal disputes, liaising with external counsel as necessary.
- Handle pre-litigation and litigation matters, supporting settlements and mediation efforts when appropriate.
- Cross-Functional Collaboration
- Work closely with executive leadership, finance, compliance, HR, and operations teams to address legal concerns and support business initiatives.
- Provide legal training and awareness sessions across the organization to enhance understanding of relevant legal topics.
- Data Privacy & Intellectual Property
- Advise on data protection laws, particularly GDPR and relevant US data privacy laws (e.g., CCPA), and ensure compliance across business operations.
- Support the company’s IP strategy, including trademark filings, copyright issues, and licensing arrangements.
Qualifications and Experience in Legal Counsel
- Bachelor’s or Master’s degree in Law from an accredited institution.
- Bar admission in Switzerland and/or the United States is essential.
- 5+ years of post-qualification legal experience, preferably with exposure to both in-house and private practice environments.
- Proven experience advising on cross-border legal matters, with a strong understanding of both Swiss and US legal systems.
- Knowledge of EU/UK law is a plus.
